Quiknode, Inc., dba “Quicknode” and its affiliates, subsidiaries, parent, successors, assigns, and agents (collectively "Quicknode", "we" "our" or "us") own and operate a website ("Quicknode.com") located at www.Quicknode.com from which you may purchase our products and services ("Quicknode Products").
These Terms of Use apply to the content and functionality of Quicknode.com, and the Quicknode Products.
The Customer, ("you") may give us information about yourself when you visit Quicknode.com. We may need to send you communications, including by email and text messages in order to, for example, verify your identity or provide you with important information, provide updates related to Quicknode Products that you use or may be interested in using. You authorize us to send such communications when you provide your contact details. Standard text or data charges may apply to text messages. You may have the option to disable text message notifications by following instructions provided in the message. However, by disabling text messaging, you may be disabling important security controls and may
increase the risk of loss to your services.
As between you and Quicknode, Quicknode exclusively owns all rights, title, and interest in the software, algorithms, interfaces, technology, databases, tools, know-how, processes, and methods used to provide and related to Quicknode Products, including patents, copyrights (including rights in modifications, improvements, and derivative works), moral rights, rights of publicity, trademarks or service marks, logos and designs, trade secrets, and other intellectual property embodied by, or
contained in Quicknode.com and all Quicknode Products (collectively, "Quicknode IP"). Quicknode IP is protected by copyright, trade secret, patent, and other intellectual property laws, and all rights in Quicknode IP not expressly granted to you in these Terms of Use are hereby reserved.
You may choose to or we may invite you to submit comments or ideas about improvements to Quicknode.com or Quicknode Products ("Ideas''). If you submit an Idea to us, we will presume that your submission was voluntary, unsolicited, and delivered without any restrictions on our use of the Idea. You also agree that Quicknode has no fiduciary or any other obligation to you in connection with any Idea, and that we are free to use your Ideas without any attribution or compensation to you.
Quicknode grants you a limited, revocable, non-exclusive, non-transferable license to accessQuicknode.com. This license does not include a right to use any of the content and information.
Quicknode grants you a limited, revocable, non-exclusive, non-transferable license to use Quicknode Products subject to the terms set forth herein.
Such permissions and licenses are automatically terminated by any unauthorized use by you or any Permitted User, or by your failure to make payment for the relevant Quicknode Products.
Details of the Quicknode Products are set out on the website (www.Quicknode.com). All features, content, specifications, products and prices of products and services described or depicted on Quicknode.com are subject to change at any time without notice. Unless expressly noted, all weights, measures and similar descriptions are approximate and are provided for convenience purposes only. The inclusion of any products or services in Quicknode.com at a particular time does not imply or warrant that these products or services will be available at any time.
For Products based on API Requests and the relevant “Responses,” such “Responses” are any API responses produced containing valid data and an HTTP status code of 200. Each such response may consume a multiple of API Credit(s) as described below.
a. Monthly Subscription. Should you elect a monthly subscription via Quicknode.com, such “Monthly Subscription” will contain a fixed number of API Credits. Whether based on API Credits, or a set dollar figure, each Product may be priced based on different usage metrics, further described on the pricing page at https://quicknode.com/pricing.
b. Yearly Subscription.
(i) Should you elect a yearly subscription via Quicknode.com, such “Yearly Subscription” will contain a fixed number of API Credits, which will expire at the end of each calendar month. Unused Credits will not roll over to the next calendar month. Whether based on API Credits, or a set dollar figure, each Product may be priced based on different usage metrics, further described on the pricing page at https://quicknode.com/pricing
(ii) If you purchase your Yearly Subscription on the first of a calendar month, the plan will be in effect for twelve (12) months; if you purchase your Yearly Subscription on any other date, the relevant plan (including fees and API Credits) will be pro-rated for such first month, and will remain in effect for the eleven (11) months following the first of the next calendar month.
(iii) The Yearly Subscription will automatically renew for twelve (12) month terms thereafter unless cancelled at least ten (10) days prior to the beginning of the next renewal term.
c. Additional credits. On our pricing page (https://quicknode.com/pricing), we disclose that your plan will auto-scale and consume additional API Credits when your fixed monthly credits are exhausted. You will incur additional charges for these API Credits as you consume them. We encourage you to check your email for usage alerts as further explained in Section 8 (Usage Alerts) below. Overages are calculated and billed on a monthly basis for all plan types.
d. Free trials and promotional periods. Unless otherwise expressly agreed, all free trials (including the Free Plan indicated at https://www.quicknode.com/pricing), are limited to a thirty (30) day term. If a subscription commences with a free trial or a promotional period, you will have the right to cancel the subscription prior to the end of the trial or period. If we do not provide you with an online cancellation
mechanism, then you may exercise this cancellation right by contacting us (hi@quicknode.com). If you do not cancel, we will bill you at the end of the free trial or promotional period, and your subsequent cancellation rights will be in accordance with the terms specific to the subscription.
e. Cancellation.
(i) Your Monthly Subscription will continue automatically until you cancel. You have the right to cancel your subscription any time, and such cancellation will be effective at the end of the applicable calendar month, provided such cancellation is submitted at least ten (10) days prior to the end of such calendar month.
(ii) Your Yearly Subscription will automatically renew for twelve (12) month terms, and you will automatically be charged for the full Yearly Subscription. You may cancel your Yearly Subscription by submitting such cancellation at least ten (10) days prior to the beginning of the next renewal term.
f. Upgrades and Changes. You may change your Monthly Plan any time in accordance with these Terms of Use. If you have purchased the Yearly Subscription, you may upgrade your selection to any plan that has at least the same annual fee. Your upgrade will be effective upon purchase for the remainder of your Yearly Subscription and will also automatically renew. The fees will be prorated for the remainder of the relevant term. You will not be able to downgrade your Yearly Subscription during the term of such Yearly Subscription.
g. Set Off. To the extent permitted by applicable law, Quicknode reserves the right to set-off any damages or amounts owed in connection with your breach of this Agreement, including but not limited to, fees owed for Quicknode Products across multiple accounts in violation of this Section 5.
You will be required to register for an account for you or any of your Permitted Users (as defined below) to use any Quicknode Products. When you register for an account, you will be asked to provide Quicknode with certain information about yourself, such as your name, email address or other contact information. You represent that the information you provide is accurate and complete, and you will keep such information up to date. If you choose, or are provided with, a user name, password, or any other piece of information in connection with your account, you must treat such information as confidential, and you must not disclose it to any third party. When registering on behalf of a business, you represent that you are authorized to do so.
“Permitted Users” means you, your employees, consultants, contractors, or agents who are authorized by you to access and use the Quicknode Products under the rights granted to you pursuant to this Agreement.
You also acknowledge and agree not to provide any third party with access to the Quicknode Products or portions thereof using your username, password, or other security information. You are responsible for any activity, including any purchases made, under your account.
We reserve the right to terminate your account at any time and for any reason.
Use of all Quicknode Products is at all times subject to these Terms of Use, whether such use is made through a registered account or otherwise.
By using Quicknode Products and Quicknode.com, you will: (i) be solely responsible for all the use of Quicknode Products under your account, including fees incurred in connection with such use; (ii) use Quicknode Products only in accordance with these terms herein in the Terms of Use, relevant documents, and with any applicable laws and regulations; (iii) prevent any unauthorized access from our Products; (iv) use commercially reasonable efforts to prevent unauthorized access to or use of the
Quicknode Products and notify Quicknode immediately of unauthorized access or use; (v) not sublicense, lease, sell, resell, rent, loan, distribute, transfer or otherwise allow the use of the Quicknode Products or any services on Quicknode.com for the benefit of third party (vi) not intentionally interfere in any manner with the operation of the Quicknode Products or the hardware and network used to operate Quicknode.com and Quicknode Products; (vii) not intentionally reverse engineer, decompile, disassemble, or otherwise derive or determine or attempt to derive or determine the source code (or the underlying ideas, algorithms, structure or organization) of Quicknode.com or the Quicknode platform; and (viii) not modify, copy or make derivative works based on any part of the Quicknode Products or on Quicknode.com.
In order to keep you informed as API credits are used, a number of alerts may be sent to you. API credits do not roll over and are non-transferable. As part of your alert notification that you receive during the monthly subscription period, the number of API credits consumed is shown as a percentage in the alerts. Once your monthly API credits have been used up, alerts will be sent out for overages, which are not included in the monthly subscription price. Keeping track of your monthly usage and overages are your responsibility, and you can view your usage in the user portal.
API Credits are included in the plan with a monthly fee that will be charged to your chosen payment method at the start of the service term. Service terms begin with the date you elect your plan and automatically renew every month, on the first of the month, until you cancel it. If your usage exceeds the API Credits in your selected plan, you will be billed for such “Overages” at the overage rate. All Overage charges are your responsibility and invoices must be paid immediately upon receipt. Customer is responsible for all fees due, and may not withhold taxes from payment. Fees and prices listed on quicknode.com are exclusive of taxes. Quicknode may, if applicable, add sales tax to Customer’s invoices, and Customer remains responsible for payment of such sales tax.
Unless otherwise expressly agreed, all fees are non-refundable. If a Quicknode Product that you have purchased does not materially match the product description, please contact us.
a. Security. You remain responsible for the security of your and your Permitted Users’ access to Quicknode Products. Should you become aware of any security breach, please notify us as soon as possible. Further, in order to best serve you and our other customers, please notify us if you are aware of an anticipated increase in volume or any other extraordinary events.
b. Usage. Quicknode reserves the right to impose rate limits, within its reasonable discretion, as may beapplicable to certain Quicknode Products.
c. Prohibited Activities. You represent that your and your Permitted Users’ use of Quicknode Products:
(i) is not in furtherance of inciting violence, funding terrorism, or otherwise in violation of applicable law;
(ii) is not fraudulent, malicious or phishing-related;
(iii) does not contain or link to malware, viruses, or other harmful code; and
(iv) does not infringe on the rights of others, including but not limited to their privacy and intellectual property rights.
d. Multiple Accounts. You may not create more than one account with Quicknode for the use of Quicknode Products. For clarity, this cannot be done for any reason, and specifically for the purpose of circumventing usage limits, exploiting free trials, or engaging in any other fraudulent of Prohibited Activities. If Quicknode determines that multiple accounts have been created by You or on Your behalf, we reserve the right to suspend or terminate any or all such accounts, and to charge you based on your total usage through any single one of these accounts.
e. Violations. Quicknode reserves the right to suspend or terminate your access to Quicknode Products at any time, should it have reason to believe you are in violation of these Terms of Use.
f. Custom Traces by default are not enabled on our platform. We may provide Custom Trace validation programs to ensure our Customers' needs are met. There is a formal process to enable Custom Traces per chain or method. Tracer code must be reviewed and approved by engineering before allowed. This approval process is subject to continuous review. On a case by case basis, alternative isolated services may be offered for additional fees. Quicknode has the sole discretion to revoke access at any time without notice.
Quicknode.com, Quicknode IP and Quicknode Products are available and provided on an "as is" and "as available", without any express, implied, or statutory warranties of title, merchantability, fitness for a particular purpose, noninfringement, or any other type of condition, warranty or guarantee. No data, documentation or any other information provided by Quicknode or obtained by you from or through Quicknode Products – whether from Quicknode or another entity, and whether oral or written – creates or implies any warranty from Quicknode to you.
Quicknode disclaims any knowledge of, and does not guarantee: (a) the accuracy, reliability, or correctness of any data provided; (b) that the Quicknode Products will meet your specific needs or requirements; (c) that Quicknode.com will be available at any particular time or location, or will function in an uninterrupted manner or be secure; (d) that Quicknode will correct any defects or errors in the Quicknode Products; or (e) that Quicknode.com is free of viruses or other harmful code. Use of data, products or services that you access, purchase or download through Quicknode.com is done at your own risk – you are solely responsible for any damage to your property, loss of data, or any other loss that results from such access, purchase or download.
Nothing in these Terms of Use operates to exclude, restrict or modify the application of any implied condition, warranty or guarantee, or the exercise of any right or remedy, or the imposition of any liability under law to the extent that doing so would: (a) contravene that law; or (b) cause any term of this agreement to be void.
Under no circumstances will Quicknode be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including lost profits, resulting from unavailability of, your use or inability to use Quicknode Products or Quicknode.com, even if such damages are foreseeable, regardless of the legal theory any such claims may be based on, and whether or not you or Quicknode has been advised of the possibility of such damages. Quicknode is not responsible for any damages, harm, or losses to you arising from or relating to hacking, tampering, or other unauthorized access or use of Quicknode.com or your failure to use or implement security controls, fraud prevention measures, or any other measure. Further, Quicknode is not responsible for damages to you or others caused by (a) your access or use of Quicknode.com or Quicknode Products inconsistent with our instructions; (b) any unauthorized access of servers, infrastructure, or data used; (c) any bugs, viruses, or other harmful code that may be transmitted to or through Quicknode.com or Quicknode Products; (d) any errors, inaccuracies, omissions, or losses in or to any data provided to us; (e) third-party content provided by you; or (f) the defamatory, offensive, or illegal conduct of others.
Under no circumstances will any such liability exceed in the aggregate the greater of: the amounts paid by you to Quicknode during the three-month period immediately preceding the event that gave rise to your claim for damages, or twenty dollars (USD $20).
These Terms of Use are governed by Florida law without regard to its conflicts of law provisions and you waive any objections thereto. Except as subject to dispute resolution herein, any claim, suit, action, or proceeding hereunder must be brought in the appropriate state or federal court located in Miami-Dade County, Florida.
We have the right to change or add to the terms of these Terms of Use at any time, solely with prospective effect, and to change, delete, discontinue, or impose conditions on use of Quicknode.com by posting such changes on our website or any other website we maintain or own. You can access a copy of the current version of these Terms of Use on our website at any time. You can find out when these Terms of Use were last changed by checking the "Last updated" date at the top of the page. Your continued use of our services constitutes your acceptance of updated terms.
You hereby grant to Quicknode, the irrevocable right to reproduce, publish, distribute, display, broadcast, exhibit, or in any other way use Your (including your company’s) name, image, logo, likeness, photograph, pictures, and the like (collectively "Persona"), either alone or together with statements or stories concerning Quicknode's products and services in recordings, videos, and still images, including, without limitation, internet, digital materials, in press and public materials, either alone or accompanied by other material, worldwide, in perpetuity, and royalty- free, for any lawful purpose including, without limitation, the purpose of advertising, publicity, promotion, trade or other marketing for Quicknode in any and all media now known or hereafter developed, including, without limitation, on the Internet (collectively, the "Materials"). For purposes herein, “You” includes Your employees, participants or other representatives participating in the activities giving rise to the Materials.
You acknowledge and agree that: (a) Quicknode may make or use the Materials without any prior payment or promise of payment, (b) there is no expectation of any payment, (c) the Statements may be used in whole or in part and may be paraphrased, modified, shortened or put into conversational form, (d) you have no right to inspect or approve the use of the Persona or Materials prior to such use.
You hereby release, discharge and agree to hold Quicknode harmless from any claims, actions, suits, losses, liabilities, damages, costs, expenses and fees (including, without limitation, legal fees) arising out of or relating to the use of the Persona or the Materials in accordance with the terms herein.
Should you wish to revoke such permission on a go-forward basis, in whole or in part, please notify hi@Quiknode.io immediately. Quicknode will use its commercially reasonable efforts to comply with such request.
Our primary objective is to ensure our customers receive exceptional service and an optimal availability for all Quicknode Products.
Due to U.S. sanctions, we do not allow customers with I.P. addresses originating in the following regions or countries to create accounts or boot endpoints: Cuba, North Korea, Iran, Syria or Crimea. This list is not exhaustive and may be updated from time to time.
You may not use Quicknode.com or purchase any Quicknode Product in or for the benefit of a country, organization, entity, or person embargoed or blocked by any government, including those on sanctions lists identified by the United States Office of Foreign Asset Control (OFAC).
We do not claim, and we cannot guarantee that Quicknode.com or any Quicknode Product is or will be appropriate or available for any location or jurisdiction, comply with the laws of any location or jurisdiction, or comply with laws governing export, import, or foreign use.
