53B Protection for third parties
(1) A person may assume that a document has been duly executed by a
corporation if—
(a) the document appears to have been signed under
section 46F(1) ; or
(b) both of the following apply—
(i) the common seal
of the corporation appears to have been fixed to the document under
section 46F(2) ;
(ii) the fixing of the common seal as mentioned in
subparagraph (i) appears to have been witnessed under section 46F(2) .
(2)
Nothing in this section limits or affects any requirement to be satisfied that
a person signing a document is a director, secretary, or lawfully authorised
agent or attorney, of a corporation.
